Terms of Service

These Terms of Service ("Terms") are an agreement between you and Kanuka Private Limited Company (บริษัท จำกัด, Borisat Chamkat), a private limited company incorporated in Thailand ("Kanuka", "we", "us"). They apply to your use of the Kanuka website, apps and related services (the "Platform"), whether you use it as a Guest, a Host or a Real Estate Agent.

Our company registration number and registered address will be added here once they are confirmed.

Kanuka is an online marketplace where people can publish, discover and enquire about homes for stays of one month or longer. At present, Kanuka only passes enquiries between users and helps them get in touch.

Kanuka does not accept or confirm bookings, collect rent or deposits, provide escrow, process payments, sign leases, manage properties, act as a landlord, or act as agent for any Guest, Host or Real Estate Agent. This does not affect any legal duty that cannot be excluded.

"Guest" means a person looking for a place to stay. "Host" means a person who lists a Property they own or are authorised to rent out. "Agent" means a real estate agent or agency listing a Property for a client (the "Principal"). "Listing" means the information and photos published about a Property. "Enquiry" means a message a Guest sends about a Listing. "Rental Agreement" means any agreement Guests and Hosts or Agents make directly with each other. "Content" means anything users upload or send through the Platform.

You must be legally able to enter into a binding contract and must give accurate information about yourself. If you use Kanuka for a business or organisation, you confirm you are authorised to bind it.

By creating an account or using the Platform, you agree to these Terms and the policies they refer to. We may send notices and keep records electronically. We keep a record of which version of these Terms applied when you accepted them.

Keep your login details secure and tell us promptly if you think your account has been misused. You may not share, sell or transfer your account. You are responsible for activity on your account unless it results from our failure to protect it.

When you sign up you choose to be a Guest, Host or Real Estate Agent. You must choose the role that accurately describes you and keep it up to date. Different responsibilities apply to each role, as set out below.

Sending or receiving an Enquiry does not reserve a Property, confirm that it is available, make or accept an offer, or create a lease or any other contract. Price and availability shown in a Listing are supplied by the Host or Agent and are for information only.

If you decide to go ahead, you negotiate and agree any Rental Agreement directly with the other party. Kanuka is not a party to that agreement and does not set its terms.

Listings must be accurate, current and complete. They must show a genuine, available Property, its correct location, real photos of that Property, and the full price and any extra charges a Guest would have to pay. Update or pause a Listing promptly when anything changes.

If you are a Host, you confirm that you own the Property or have every permission needed to rent it out, including any consent required from a landlord, lender, condominium or building management. If you are an Agent, you confirm that you have a current appointment from the Principal and their permission to publish the Listing, and you will name the Principal to us on request.

You are solely responsible for understanding and complying with all laws, regulations, rules and agreements that apply to your Property and your Listing in the country, province and city where the Property is located. These include rental and licensing rules, zoning, condominium, building and homeowner-association rules, any consent needed under a head lease or mortgage, foreign-occupant or guest registration duties (for example, TM30 notifications in Thailand), tenant-protection and consumer laws, tax, and health and safety.

Kanuka does not check whether a Listing is lawful where the Property is located. We may ask you for evidence of compliance and may remove or pause a Listing where we reasonably believe it does not comply.

Agents must clearly disclose that they act as an agent, identify their agency, describe any professional credentials accurately, disclose any fee or commission a Guest will be asked to pay, and disclose any conflict of interest. Do not describe yourself as holding a licence or accreditation you do not hold.

Guests must send genuine Enquiries, communicate respectfully, and use Hosts’ and Agents’ contact details only for the Enquiry they relate to.

Kanuka does not currently process any payments. Never send rent, deposits or other money to anyone claiming to collect it on Kanuka’s behalf. Any payment you make is made directly to the other party under your own Rental Agreement and at your own risk.

Kanuka plans to offer payments in future. Before it does, we will publish separate payment, booking and fee terms, give at least 15 days’ notice, and set out every Kanuka fee clearly before you are asked to pay it.

Before agreeing anything, we strongly recommend that you view the Property (in person or by live video), check the identity and authority of the person you are dealing with, read any Rental Agreement carefully, get independent advice where needed, record the condition of the Property at move-in, and keep receipts for every payment.

You must not use the Platform for fraud, impersonation, fake or misleading Listings, discrimination, harassment, illegal content, spam, or misuse of other people’s personal data. You must not scrape, copy or reverse-engineer the Platform, introduce malware, or try to get around our security or moderation controls.

You keep ownership of the Content you upload. You give Kanuka a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, format, translate, display and distribute your Content to operate, moderate and promote the Platform and your Listing. This licence ends when your Content is removed, except for backups, legal records and promotional materials already published. You confirm you have the rights to everything you upload.

The Kanuka name, logo, software and design belong to Kanuka or its licensors. You may use the Platform only as these Terms allow.

Where we show a badge or verification status, it means only the specific check described next to it was completed at a particular time. It is not an endorsement or a guarantee of a user, Property or Listing. We may re-check or remove a badge at any time.

If you see a Listing or behaviour that breaks these Terms or the law, please report it to us with as much detail as you can. We will review reports and may take interim action while we investigate.

We may restrict, suspend or close an account, or remove Content or pause a Listing, where reasonably necessary to enforce these Terms, investigate suspected fraud or illegal activity, protect users, comply with law or keep the Platform secure. Where appropriate and legally permitted, we will tell you why and give you a way to ask for a review. You may close your account at any time.

If you have a complaint about Kanuka, contact us and we will acknowledge it and respond as soon as reasonably possible. This does not affect your right to contact a regulator, including Thailand’s Electronic Transactions Development Agency (ETDA) or Office of the Consumer Protection Board (OCPB).

The Platform may include maps, links or other services provided by third parties. Their own terms and privacy policies apply to them.

We may update the Platform from time to time and do not promise it will always be available without interruption. If we make a material change to these Terms, we will give you at least 15 days’ notice before it takes effect. If you do not agree to the change, you may close your account before it takes effect.

To the extent permitted by law, Kanuka does not guarantee the availability, condition, legality or suitability of any Property; the identity, authority or conduct of any user; that any Enquiry will receive a reply; or that any Rental Agreement will be completed.

To the extent permitted by law, Kanuka is not liable for loss arising from dealings between users or from Rental Agreements it is not a party to. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, for gross negligence or wilful misconduct, or any other liability that cannot lawfully be limited or excluded. Any cap on our liability will be set out here once confirmed.

You agree to cover Kanuka’s reasonable losses caused by your unlawful Content, false statements about your authority or credentials, infringement of others’ rights, fraud or wilful misconduct, or material breach of these Terms. This does not apply to losses caused by Kanuka’s own fault.

These Terms are governed by the laws of Thailand. Subject to any mandatory right to bring a claim elsewhere, the courts of Thailand have jurisdiction. Nothing in this section removes a consumer right or remedy that cannot lawfully be waived under the law that applies to you.

Additional country-specific terms ("Country Addenda") may apply to users who live in, or to Properties located in, particular countries. Where a Country Addendum applies, it forms part of these Terms and, if it conflicts with these Terms, the Country Addendum prevails for that country and subject matter only.

Your contract is with Kanuka Private Limited Company. Kanuka may in future provide the Platform to users in certain countries through an affiliated company, based on your country of residence or the location of a Property. If that happens, we will tell you in advance under section 24, and your rights under these Terms will not be reduced by the change alone.

These Terms are written in English. If we publish a translation and there is a conflict, the English version applies unless the law requires otherwise.

If any part of these Terms is found to be unenforceable, the rest remains in effect. Not enforcing a right straight away does not waive it. You may not transfer your rights under these Terms without our consent. Nothing in these Terms creates a partnership, employment or agency relationship between you and Kanuka. Sections that by their nature should survive termination will do so.
